1. Acceptance
These terms apply to every quotation, order and supply by Faith International ("we", "us") to a buyer, unless a signed written agreement says otherwise. By placing an order, the buyer accepts them.
2. Orders and changes
A binding contract is formed when we confirm the order in writing and receive the advance payment. Changes to quantity, specification or delivery date must be agreed in writing and may change the price and lead time.
3. Cancellation
Once fabric has been purchased or production has started, an order cannot be cancelled without paying for the materials, work and costs already incurred.
4. Samples and approvals
Bulk production follows the sample approved by the buyer. Approval of a sample, lab dip or strike-off confirms the design, colour and quality for that order.
5. Designs and intellectual property
- Designs, tech packs, labels and brand names supplied by the buyer remain the buyer's property. The buyer confirms they have the right to use them and that they do not infringe anyone else's rights.
- Our own patterns, designs, prints and development work remain our property unless transferred in writing.
- We keep the buyer's designs and information confidential and use them only for the buyer's order.
6. Inspection
The buyer may inspect the goods at our unit before dispatch. Inspection or release of the goods does not remove our responsibility for the claims covered in our Returns, Claims & Quality policy.
7. Limitation of liability
To the extent the law allows, our total liability for any claim relating to an order is limited to the invoice value of the goods affected. We are not liable for indirect or consequential loss, such as lost profit or lost sales.
8. Force majeure
Neither party is liable for delay or failure caused by events beyond reasonable control, including natural disasters, epidemics, war, strikes, power or transport failure, or government action. The affected party will inform the other promptly.
9. Compliance
Each party will follow the laws that apply to the order, including export, import, labour and anti-corruption laws.
10. Governing law and disputes
These terms are governed by the laws of India. We will first try to settle any dispute through discussion in good faith. If that fails, the courts at Gautam Buddh Nagar (Noida), Uttar Pradesh, have jurisdiction, unless the parties agree in writing on another forum.
11. Whole agreement
These terms, together with the proforma invoice and any signed agreement, are the full agreement between us. We may update these terms from time to time, and the version in force on the date of the order applies.
